Terms of Service

These Terms of Service govern your use of pickngox.com and the PickNGo dispatch sequencing platform (the "Service") operated by PickNGo Ltda ("the Company," "we," "us," or "our"). By using the Service — whether through the operator portal, the API, or any integration with your point-of-sale system — you accept these Terms. Nothing in these Terms limits your statutory rights under the laws of your country of residence.

1. Agreement

These Terms govern your use of pickngox.com (the "Service") operated by PickNGo Ltda (Av. Brigadeiro Faria Lima 3477, 14 andar, Sao Paulo, SP 04538-133, Brazil). By using the Service you accept these Terms. Nothing in these Terms limits your statutory rights under the laws of your country of residence.

The Service is a B2B platform designed for retail businesses operating in-store pickup programs and quick-commerce fulfillment in Brazil. If you are accessing the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. Use of the Service

• You must be of legal age in your jurisdiction or have appropriate authorization from your employer to enter into this agreement.
• You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorized access to dispatch data belonging to other retailer accounts.
• You may not scrape, reverse-engineer, or copy the Service except as permitted by mandatory law. The AI sequencing engine and dispatch algorithms are proprietary to the Company.
• You are responsible for the accuracy of order and operational data you submit through the platform. Incorrect zone tags, courier assignments, or POS mappings may affect dispatch quality; the Company is not liable for sequencing errors that result from inaccurate input data.

3. Intellectual Property

The Service is owned by PickNGo Ltda or its licensors and is protected by international intellectual-property law, including Brazilian copyright and trade secret law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose: managing pickup order sequencing and courier dispatch at your retail locations. This licence does not permit you to resell, sublicense, or provide the Service to third parties outside your own retail operations.

Dispatch operational data you submit (order identifiers, zone data, courier records) remains owned by your business. By submitting it through the platform, you grant the Company a limited licence to use, store, and process it to provide the Service and, in aggregated de-identified form, to improve the dispatch algorithms — subject to the terms in our Privacy Policy.

4. User Content

You are responsible for any content you submit through the Service, including operational configurations, integration settings, and communications. You grant us a limited licence to use, store, and process that content to provide the Service. You confirm that submitting this content does not violate any third-party rights or applicable Brazilian law.

5. Service Levels and Availability

The Company targets continuous availability of the dispatch interface during your retail operating hours, but the Service is provided on an "as is" and "as available" basis. Planned maintenance windows will be communicated in advance where possible. Enterprise-tier subscribers with a signed SLA agreement are governed by the terms of that agreement for uptime guarantees.

6. Disclaimers

The Service is provided on an "as is" and "as available" basis. The Company disclaims all warranties to the maximum extent permitted by applicable law — including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Mandatory consumer warranties applicable in your country of residence are not affected. The Company does not warrant that the AI sequencing output will eliminate all queue congestion in all circumstances; results depend on the accuracy and completeness of data submitted through your POS integration.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service will not exceed the total fees paid by you to the Company in the three months preceding the claim, or USD 100, whichever is greater — except for liability that cannot be limited under mandatory law. The Company is not liable for indirect, incidental, or consequential losses such as lost revenue from pickup queue delays, loss of customer goodwill, or business interruption.

8. Indemnification

You agree to indemnify and hold harmless PickNGo Ltda from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party right — including any claim from your end customers arising from dispatch data you submitted to the platform.

9. Termination

The Company may suspend or terminate your access for material breach of these Terms, non-payment of fees, or conduct that poses a security risk to other subscribers. Sections 3 (Intellectual Property), 6 (Disclaimers), 7 (Limitation of Liability), 8 (Indemnification), and 10 (Governing Law) survive termination by their nature.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Brazil, including the Brazilian Civil Code (Lei 10.406/2002) and the Consumer Defense Code (Lei 8.078/1990) where applicable.

Disputes are subject to the non-exclusive jurisdiction of the competent courts in Sao Paulo, Brazil, without prejudice to mandatory consumer-protection rights of your country of residence.

11. Changes and Contact

The Company may update these Terms. Material changes are posted with a new "Last updated" date and, where required by Brazilian law, notified to active subscribers by email. Continued use of the Service after the effective date of material changes constitutes acceptance of the revised Terms.
